1. About Klap and these terms

Klap (also called Klappay, “we” or “us”) builds non-custodial software for crypto payments. “Klap” means the people who build and operate the Services, together with any company they set up, or assign these terms to, to operate them. These terms are a binding agreement between you and Klap. They cover every Klap product listed above, together called the Services, and the website at klappay.com.

Klap is reached for every purpose, including support, legal notices, complaints and data protection requests, at hi@klappay.com. A message sent there counts as delivered to Klap.

Some products add their own rules, set out in the product sections below. When a product section and the general terms disagree, the product section wins for that product.

By creating an account, signing in, using an API key, creating a link, page or campaign, or paying through any of the Services, you confirm that you have read and accept these terms and the Privacy policy. If you use the Services for a company or organization, you confirm that you can bind it to these terms, and “you” includes it. If you do not agree, do not use the Services.

Kompra is a separate marketplace with its own terms and privacy policy. Those apply when you use Kompra.

2. Klap is software, not a financial institution

Payments made through the Services settle on public blockchains, directly to wallet addresses chosen by the person being paid, or into a smart contract escrow where a product says so. Klap never takes possession of, holds, pools or controls funds on anyone’s behalf.

Klap is not a bank, a payment institution, an exchange, a money transmitter, a broker, an escrow agent or a fiduciary. It does not offer accounts, balances, deposits, credit, currency exchange, investment or financial advice. Nothing on the Services is a recommendation to buy, sell or hold any crypto asset.

Klap never has the private key or recovery phrase of any merchant or payer wallet. When a product creates a wallet for you, it is generated in your own browser and only its public address is sent to Klap. If you lose the recovery phrase or the key, nobody, including Klap, can recover the wallet or its funds.

3. Eligibility

To use the Services you must:

  • be at least 18 years old and able to enter into a binding contract;
  • not be the subject of any sanctions list, and not be located in, resident in or organized under the laws of a country or region under comprehensive sanctions;
  • not have had an account with Klap suspended or closed for breaking these terms;
  • be allowed to use crypto assets and services like ours under the laws that apply to you. You are responsible for checking this. Klap makes no promise that the Services are legal or appropriate in every country.

4. Accounts and security

Each product has its own sign-in. Depending on the product, you sign in with Google, GitHub, an email and password, or a one-time code sent to your email. You must give accurate information and keep it up to date.

You are responsible for keeping your credentials, devices, wallets, API keys and webhook secrets secure, and for everything done through your account or keys, whether or not you authorized it. Tell us at once at hi@klappay.com if you think your account or keys have been compromised.

5. Paying through Klap

Payers pay in supported stablecoins, such as USDC and USDT, on the networks shown at checkout. The amount shown at checkout is the amount to send. Network fees charged by your wallet, exchange or the network itself are yours to pay.

You must send the exact amount, once, on the network shown, before the charge expires, from a wallet you control. Blockchain transfers are final and cannot be reversed by Klap. Klap is not responsible for, and cannot recover, funds sent to a wrong address, on the wrong network, in an unsupported token, after a charge expired, in a different amount, or more than once. Any handling of such a payment is between you and the person you paid.

Klap only provides the payment technology. The merchant, creator or campaign owner you pay is the one selling, asking for support or raising money. They alone are responsible for what you are paying for, including its description, legality, delivery, quality, refunds and any promise made on their page. Klap is not a party to that relationship and does not guarantee anyone’s performance.

A payment counts as made only when it is confirmed on the blockchain and by the Services. Returning from checkout, a wallet message or a screenshot is not proof of payment.

6. Fees and taxes

Klap charges a percentage fee on payments processed through the Services. The fee that applies, and whether the merchant or the payer bears it, is shown in the product before you create a link, page or campaign, and in the total at checkout. Fees are deducted on-chain when the payment settles and are not refundable, including when a merchant later refunds a payer.

We may change fees at any time. A change applies to charges created after it takes effect, never to a payment already made.

You are responsible for all taxes, duties and reporting obligations that apply to your payments, sales, donations or campaigns. Klap does not calculate, collect, withhold or file taxes for you.

7. If you get paid through Klap

This applies to developers using Core, and to anyone selling, collecting donations or running a campaign on Link, Give or Fund. You agree to:

  • choose and control the wallet addresses you are paid to and check they are correct. Klap pays out exactly to the addresses and splits you configure and is not liable for a wrong address you entered;
  • sell or raise money only for lawful purposes, describe it honestly and completely, and deliver what you promise;
  • identify yourself to your buyers and backers as the law requires of you, including your name, a way to contact you and, where it applies, your tax ID and address. Klap provides the payment technology and is not the seller or the fundraiser;
  • handle refunds, support, chargebacks of any kind and complaints from your own customers or backers yourself. Klap cannot refund a payment that already settled to your wallet;
  • comply with every law that applies to your activity, including consumer protection, tax, invoicing, licensing, data protection, anti-money-laundering and sanctions laws;
  • have a lawful basis for any payer details you collect through the Services, such as an email or shipping address, and use them only for the payment they were given for;
  • keep API keys and webhook secrets confidential, and verify webhook signatures before acting on them;
  • give us accurate information about yourself and your activity when we ask for it to comply with the law or investigate a risk.

8. Prohibited use

You must not use the Services to:

  • sell, promote or fund anything illegal where you or the payer are, or anything that infringes someone else’s rights;
  • commit fraud, deceive payers, launder money, finance terrorism or evade sanctions or taxes;
  • offer securities, investments, loans, gambling, lotteries or any promise of financial return;
  • sell weapons, drugs, adult content involving non-consenting people or minors, stolen goods or data, counterfeit goods, or services meant to cause harm;
  • impersonate someone else, or mislead payers about who receives the money or what it is for;
  • split or structure payments to avoid limits, checks or the law;
  • attack, overload, scrape at scale, reverse engineer, resell without permission, or try to gain unauthorised access to the Services, other accounts or the systems they run on.

9. Suspension and termination

We may refuse service, remove content, disable links, pages, campaigns or API keys, or suspend or close an account, at any time and without notice, if we reasonably believe that it breaks these terms or the law, puts payers, other users or Klap at risk, or if we are required to do so by law, a court or an authority. Where the law allows, we will tell you why.

Because Klap does not hold your funds, suspension never freezes your own wallet. It only stops new payments through the Services. Payments already in a Fund escrow continue to be released or refunded under the rules in section 16.

You can stop using the Services at any time. Sections that by their nature should survive, such as fees owed, disclaimers, liability, indemnity and governing law, survive the end of this agreement.

10. Klap Core and the Klap App

Core is offered as an API, SDKs and the Klap App dashboard at app.klappay.com. Test-mode keys and charges are for development only and never move real funds. Rate limits, API versions and the event formats Core sends are described at docs.klappay.com and may change.

You are responsible for your integration, including how you show prices, confirm payments, store data and react to webhooks. Treat a payment as complete only when Core confirms it.

11. Klap Trust

Klap Trust gives each payer wallet a trust score, calculated from how that wallet has paid across everyone using Klap: whether its payments were confirmed, overpaid, refunded or reclaimed, and how large they were. It uses only payment records Core has already confirmed, and it never learns which merchant a wallet paid.

Core uses the score only to shorten how long it waits for blockchain confirmations on a payment from a wallet with a good history. A low score, or no score, never blocks, reverses or slows a payment beyond the normal wait.

Klap One can show you the score of wallets you linked, and anyone can see the score of their own wallet on the Klap Trust page by signing a message with it, without an account. The score is an internal signal, not a credit rating or a statement about any person, and Klap makes no promise about its accuracy. Do not make artificial payments to influence it.

12. Klap Checkout

Checkout shows the amount, token, network and address for a charge and lets you pay from a wallet you connect. Klap never asks for your recovery phrase or private key. A charge expires after the time shown, and a payment sent after that may not be matched to it.

13. Klap One

Klap One lets payers sign in, link their own wallets and approve payments across Klap products. Approving a payment authorises a transfer from a wallet you linked, and you are responsible for each approval you give. Klap One never holds your keys or your funds, and it cannot approve a payment without you.

15. Klap Give

A contribution on Give is a voluntary gift to the page owner and the recipients they chose. It does not buy a product, a reward or a share in anything, and it is not refundable through Klap. The page owner does not owe anything in return unless they promise it themselves, and that promise is theirs alone.

A goal shown on a Give page is informational only. Going past it does not close the page, and falling short of it does not refund anyone.

Klap does not verify the identity of page owners, what they say about themselves or how they use the money. A contribution is not tax-deductible because of Klap. Support only people and projects you trust.

You can hide your name and message from the public page. The page owner still sees them, and the payment itself stays visible on the blockchain.

16. Klap Fund

Fund campaigns are all-or-nothing. Contributions are held in a smart contract escrow for that charge, not by Klap and not by the campaign owner, until the campaign closes.

If the goal is reached by the deadline, the funds are released to the recipients set when the campaign was published. If it is not, each contribution is refunded to the wallet that paid it, less network fees. A refund cannot be sent anywhere else. Goal, deadline, payment method and recipients cannot change once a campaign is published.

Release and refund are carried out after the campaign closes and pending payments are reconciled. They are not instant and can be delayed by network conditions, a smart contract or network failure, or a check we need to make. Klap does not guarantee a time for either.

Reaching the goal does not guarantee that the project will be delivered. That is the campaign owner’s promise and responsibility alone, and Klap does not verify it. A contribution is not an investment, a loan, a pre-order with a delivery date or a purchase of equity, and it carries no financial return.

17. Risks you accept

Using crypto assets carries risks Klap cannot control. You understand and accept that:

  • blockchains, wallets, bridges and token issuers are run by third parties and can fail, halt, fork, be congested or be attacked;
  • a stablecoin can lose its peg, be frozen or blacklisted by its issuer, or stop being supported;
  • smart contracts, including the escrow contracts the Services use, can contain bugs or be exploited;
  • transactions are public, permanent and cannot be reversed;
  • laws about crypto assets are changing and may restrict or end some features where you are.

18. Beta, availability and changes

The Services are in closed beta. They are new, may contain errors, and can change, be limited or stop at any time, with or without notice. We do not promise any level of uptime, and we may suspend a product or feature to protect users or comply with the law.

We may update these terms. When we make a material change, we will update the date at the top of this page and tell account holders in the product or by email before it takes effect. Using the Services after a change takes effect means you accept it. If you do not accept it, stop using the Services.

19. Your content and our intellectual property

You keep the rights to the content you publish, such as product descriptions, page stories, updates and images. You give Klap a worldwide, free, non-exclusive licence to host, copy, show and adapt it as needed to run and promote the Services. You confirm that you have the rights to everything you publish and that it does not break the law or anyone’s rights. We may remove any content at our discretion.

Klap owns the Services, its software, designs, brands and logos. We give you a limited, revocable, non-transferable right to use the Services and our SDKs and documentation to integrate with Klap, under these terms. Open-source parts are covered by their own licences. If you send us feedback, we may use it freely.

20. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Services will be uninterrupted, secure or error-free.

Klap is not responsible for blockchains, wallets, token issuers, sign-in providers or other third-party services, for the acts of merchants, creators, campaign owners, payers or other users, or for anything they sell, promise, publish or fail to deliver.

21. Limitation of liability

To the maximum extent permitted by law, Klap and its founders, team members and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or crypto assets, however caused, even if we were told they were possible.

To the maximum extent permitted by law, Klap’s total liability for all claims relating to the Services is limited to the greater of the fees you paid to Klap in the 12 months before the event giving rise to the claim, or USD 100.

These limits do not apply to liability that cannot be limited by law, such as for fraud or wilful misconduct, and they do not take away rights you have under mandatory consumer protection law, including Brazil’s Consumer Protection Code where it applies.

22. Indemnity

You agree to defend and compensate Klap, its founders and team for any claim, loss, fine, damage or cost, including reasonable legal fees, that arises from your use of the Services, your content, what you sell or raise money for, your dealings with payers or backers, or your breach of these terms or the law.

23. Governing law and disputes

These terms are governed by the laws of the Federative Republic of Brazil. Before starting any legal claim, contact us at hi@klappay.com and give us 30 days to try to resolve it.

If that does not work, disputes will be decided by the courts of Brazil. If you are a consumer, you can also bring a claim in the courts where you live, and nothing in these terms takes away that right.

24. General

These terms and the Privacy policy are the whole agreement between you and Klap about the Services. If a court finds part of them unenforceable, the rest stays in force. If we do not enforce a right, we have not given it up. You may not transfer these terms without our consent. We may transfer them as part of a reorganisation, merger or sale. We are not liable for delays or failures caused by events outside our reasonable control.

We may send you notices by email, in the product or on this page, and they count as given when sent. These terms are written in English, and the English version prevails over any translation.
